BY USING THE DESIGNERBOX.AI WEBSITE (THE "SITE"), OR ANY SERVICES OF LOADFOCUS LTD (THE "SERVICE"), YOU ARE AGREEING TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS.
"LoadFocus LTD" or "we" or "us" refers to the owner or operator of the Site and provider of the Service. LoadFocus LTD is a company registered in England and Wales under company number 9554514 with registered office at 4 Grayscroft Road, SW16 5UP, London, United Kingdom.
Acceptance of Terms of Service The Service is offered subject to acceptance without modification of all of these Terms of Service and all other operating rules, policies and procedures that may be published from time to time in connection with the Services by LoadFocus LTD. In addition, some services offered through the Service may be subject to additional terms and conditions; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Service by this reference.
LoadFocus LTD may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.

LoadFocus LTD reserves the right to update, modify or change the Terms of Service from time to time. Any new features that augment or enhance the current Site or Service shall be subject to the Terms of Service. Violation or breach of any of the terms below will result in the termination of your Account without notice to you or liability to us. By using the Site, you understand and agree that LoadFocus LTD shall not be responsible or liable to you for any errors, inaccuracies, or objectionable content which you may be exposed to and you further agree to use the Site at your own risk.
Account Terms
1. You must be 18 years or older to use the Site or Service. By accessing the Services, you confirm that you're at least 18 years old and meet the minimum age of digital consent in your country.
2. You must provide your legal full name, a valid email address, and any other information requested in order to create an account to use and access the Service ("Account").
3. You are responsible for maintaining the security and confidentiality of your Account and password. LoadFocus LTD shall not be liable for any loss or damage from your failure to comply with this security obligation. Please alert us immediately if you believe your password has been misused.
4. You are responsible for all content posted and activity that occurs under your Account (even when content is posted by others who have accounts under your Account). Each person must have a unique account and you are responsible for any activity conducted on your account.

5. You may not use the Site or Service on applications or websites where you have no rights. You can use the Site or Service only on your own applications or websites. LoadFocus LTD shall not be liable for any direct or indirect loss or damage arising out of the use of the Site or Service on any unauthorized applications, websites or application programming interfaces (APIs).

6. You may not use the Site or Service for any illegal or unauthorized purpose. You must not, in the use of the Site or Service, violate any applicable laws in your jurisdiction (including but not limited to copyright laws).
Rules and Conduct
1. By using DesignerBox, you agree that the Service is intended solely for the purpose of creating AI-generated images and videos of yourself or other individuals for whom you have obtained explicit written consent. You acknowledge and agree that when creating AI content of other individuals, you must have their express written consent to use their photos and to create, train, and generate AI-generated images or videos of them.
2. By using DesignerBox to create AI content, you confirm that you are creating content of yourself and are over 18 years old (or the legal age in your country), or you have obtained explicit written consent from any individual whose likeness you are using and confirm they are over 18 years old (or the legal age in their respective country, whichever is higher).
3. DesignerBox video creation functionality is strictly for lawful and ethical purposes. By using the Service, you agree NOT to create or distribute content that: (a) impersonates real individuals without their explicit consent; (b) engages in or promotes scams, fraud, or other misleading activities; (c) promotes or sells illegal products, services, or content; (d) engages in political campaigning, advocacy, or misinformation; (e) produces deepfake content with the intent to deceive, defraud, or mislead others; (f) creates content that violates privacy or portrays individuals in a harmful or false light; (g) distributes violent, hateful, or discriminatory content of any kind; (h) creates false photography or documents to breach people's accounts; (i) generates nudes or pornography; (j) exploits or abuses children in any way.

4. You agree to only use the content creation functionality for positive and lawful purposes, such as but not limited to: creating advertisements for legitimate products and services, marketing campaigns that promote legal and ethical businesses, explainer videos or tutorials, educational content for personal or commercial use, or any other purpose that complies with applicable laws and this Terms of Service.

5. As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Terms of Service. You shall not (and shall not permit any third party to) take any action that: would constitute a violation of any applicable law, rule or regulation; infringes upon any intellectual property or other right of any other person or entity; is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, offensive, furthering of self-harm or profane; generates or disseminates verifiably false information with the purpose of harming others; impersonates or attempts to impersonate others; generates or disseminates personally identifying or identifiable information; implies or promotes support of a terrorist organization; condones or promotes violence against people based on any protected legal category.
6. By using the Service and uploading any content, you expressly acknowledge and agree that you will not upload, post, generate or share any photographs or content depicting minors (individuals under the age of 18). You further agree that, in compliance with applicable laws and regulations, we reserve the right to monitor and review any uploaded or generated content, and if we identify any content featuring minors, we will immediately remove such content and report any instances of potential child exploitation, endangerment, or abuse to the appropriate law enforcement authorities. By using our platform, you consent to such monitoring, review, and reporting, and you understand that you may be subject to legal repercussions if you violate these terms.
Prohibited Uses
You are fully responsible for your activities while using the Site, including any content, information or other materials you post or upload to the Site, and you bear all risks associated with the use of the Site. By agreeing to these Terms, you agree to comply with all applicable federal, state, and local laws and regulations in connection with your use of the Site.
We reserve the right (but not the obligation) in our sole discretion to: (1) monitor the Site for violations of these Terms; (2) take appropriate legal action against anyone who uses or accesses the Site in a manner that we believe violates the law or these Terms, including reporting such user to law enforcement authorities; (3) deny access to the Site or any features to anyone who violates these Terms; and (4) otherwise manage the Site in a manner designed to protect our rights and property.

You are prohibited from using the Site for the commission of harmful or illegal activities. You shall not (directly or indirectly): (a) take any action that imposes or may impose an unreasonable or disproportionately large load on LoadFocus LTD's (or its third party providers') infrastructure; (b) interfere or attempt to interfere with the proper working of the Service; (c) bypass any measures we may use to prevent or restrict access to the Service; (d) use any method to extract data from the Services, including web scraping, web harvesting, or web data extraction methods, other than as permitted through an allowable API; (e) reverse assemble, reverse compile, decompile, translate or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of the Services; (f) copy or adapt the Site's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code; (g) upload any material, program, or software that contains any virus, worm, spyware, Trojan horse or other malicious code; (h) use any automated system, including any spider, robot, scraper, or offline reader to access the Site; (i) interfere with, disable, or disrupt the Site or servers or networks connected to the Site; (j) hack into, penetrate, or otherwise circumvent the security measures of the Site; (k) impersonate another person or falsely represent an affiliation with any organisation; (l) include sensitive personal information (such as phone numbers, residential addresses, health information, social security numbers) about yourself or any other person in any webform on the Site; (m) reproduce, duplicate, copy, sell, resell or exploit any portion of the Site without our express written permission.

DMCA and Takedowns Policy
LoadFocus LTD utilizes artificial intelligence systems to produce content. Such content may be unintentionally similar to copyright protected material or trademarks held by others. We respect rights holders internationally and we ask our users to do the same.
We have implemented the procedures described in the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. § 512, regarding the reporting of alleged copyright infringement and the removal of or disabling access to the infringing material. If you have a good faith belief that copyrighted material on the Site is being used in a way that infringes the copyright over which you are authorised to act, you may make a Notice of Infringing Material by contacting us at contact@designerbox.ai.

Before serving a Notice of Infringing Material, you may wish to contact a lawyer to better understand your rights and obligations under the DMCA and other applicable laws.

Termination of Repeat Infringers: We will terminate or disable your use of the Site in appropriate circumstances if you are deemed by us to be a repeat copyright infringer.
Licensing Terms
Subject to your compliance with this Agreement and applicable law: (i) you are granted a non-exclusive, limited, non-transferable, non-sublicensable, non-assignable, freely revocable license to access and use the Service for business or personal use; (ii) you own all content (images, videos, and other materials) you create with the Services and (iii) we hereby assign to you all rights, title and interest in and to such content for your personal or commercial use. Otherwise, LoadFocus LTD reserves all rights not expressly granted under these Terms of Service. A breach or violation of any of our Terms of Service may result in an immediate termination of your right to use our Service.
By using the Services, you grant to LoadFocus LTD, its successors, and assigns a perpetual, worldwide, non-exclusive, sublicensable, no-charge, royalty-free, irrevocable copyright license to use, copy, reproduce, process, adapt, modify, publish, transmit, prepare derivative works of, publicly display, publicly perform, sublicense, and/or distribute text prompts and images you input into the Services, or content produced by the Service at your direction. This license authorizes LoadFocus LTD to make the content available generally and to use such content as needed to provide, maintain, promote and improve the Services, as well as to comply with applicable law and enforce our policies. You agree that this license is provided with no compensation paid to you by LoadFocus LTD for your submission or creation of content, as the use of the Services by you is hereby agreed as being sufficient compensation for the grant of rights herein. The license to LoadFocus LTD survives termination of this Agreement by any party, for any reason.
You agree that the materials or content uploaded or provided by you do not infringe upon any third party rights and are in no way unlawful for you to upload or provide and you further agree to indemnify and hold harmless LoadFocus LTD, its officers, directors, employees and agents against any and all third party claims, loss or damage arising out of the content or materials uploaded or provided by you.

LoadFocus LTD does not pre-screen content, but LoadFocus LTD and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Site or Service.

Billing Terms
1. A valid credit card is required for paying Accounts. Downgraded accounts on the Free plan are not required to provide a credit card number and will not be charged.
2. You agree that LoadFocus LTD provides you immediate access to digital content and begins service consumption immediately upon purchase, without the standard 14-day withdrawal period. Therefore, you expressly waive your right to withdraw from this purchase. Due to the high costs of GPU processing, we are not able to offer refunds because we reserve servers and incur high costs for your usage immediately. The Service is billed in advance on a monthly or yearly basis based on your plan and is non-refundable. There will be no refunds or credits for partial periods of service, upgrade/downgrade refunds, or refunds for months unused with an open Account.
3. Your plan shall automatically renew at the end of your current subscription period on a rolling or recurring monthly or yearly basis (depending on your plan) until you cancel it pursuant to the "Cancellation and Termination" section below. If you do not wish to renew your subscription at the end of the term, you should cancel prior to the renewal date of your subscription.
4. Unless otherwise stated, your subscription fees ("Fees") do not include federal, state, local, and foreign taxes, duties, and other similar assessments ("Taxes"). You are responsible for all Taxes associated with your purchase and we may invoice you for such Taxes. You agree to timely pay such Taxes and provide us with documentation showing the payment or additional evidence that we may reasonably require.
5. If any amount of your Fees are past due, we may suspend your access to the Services after we provide you written notice of late payment.
6. For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged at the new rate on your next billing cycle.
7. Downgrading your Account or plan level may cause loss of content, features, or capacity of your Account. If you downgrade to the Free plan, you will not be able to generate images or videos, but you will not be charged. LoadFocus LTD does not accept any liability for such loss.
8. LoadFocus LTD reserves the right to change its prices and offering (including credits or features) at any time. If you are on a subscription plan, changes to pricing will not apply until your next renewal.
Cancellation and Termination
1. You are solely responsible for properly cancelling your Account. An email or phone request to cancel your Account is not considered cancellation. You can cancel your Account at any time by clicking on the "Account" or "Billing" link in the global navigation bar at the top-right of the screen on the Site.
2. All of your Pro, Business, or Teams plan content will be immediately removed from the Site upon cancellation. This information can not be recovered once your Account is cancelled.
3. If you cancel your Account or plan before the end of your current paid up period, your cancellation will take effect immediately and you will not be charged again. No refunds will be given for any unused periods upon cancellation.
4. LoadFocus LTD may terminate your Account with immediate effect and without notice to you if you materially breach the Terms of Service or you fraudulently use or misuse the Site or Service. In the event of such termination you will not receive a refund. Any fees paid hereunder are non-refundable.
5. LoadFocus LTD, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other LoadFocus LTD service, for any reason at any time if you fail to comply with these Terms of Service, which may result in the forfeiture and destruction of all information associated with your account. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. LoadFocus LTD reserves the right to refuse service to anyone for any reason at any time.
6. Upon any termination, all rights and licenses granted to you in this Agreement shall immediately terminate, but all provisions hereof which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers, indemnity and limitations of liability.

Teams Plan

1. DesignerBox Teams: Customers on the Teams plan may invite teammates to access their projects and create new teams.
2. The Teams plan is designed for groups requiring a shared project environment with centralized management.
3. A minimum of 5 seats is required to activate the Teams plan.
4. The Teams plan includes all Premium plan features, plus additional benefits as specified herein.
5. Additional benefits include 50 AI Credits per user per month.
6. The plan provides a shared workspace for collaboration on tasks and projects with real-time updates and custom task views.
7. Centralized management features consolidate access, data, and billing across your team.
8. Integrations with calendars, emails, and other tools are available as part of the Teams plan.
